Website Design Agreement

This Website Design Agreement (“Agreement”) is entered into between [Client Name] (“Client”) and Whiteski Digital Ltd (“Whiteski Digital”) on [Date].

1. Scope of Work: Whiteski Digital agrees to design and develop a website for the Client according to the specifications outlined in the proposal or agreement provided.

2. Payment Terms: a. The total cost for the website design at an agreed cost. b. Client agrees to pay 50% of the total cost upfront before work commences. The remaining 50% shall be paid upon completion and client approval of the website. c. Additional features or plugins required beyond the scope of this agreement may incur additional charges, to be discussed and agreed upon between Whiteski Digital and the Client. d. Payment shall be made via our website or per invoice.

3. Changes and Revisions: a. Client shall have one week after the delivery of the website to provide any changes or revisions. b. Any changes or revisions requested after the one-week period may be subject to additional charges.

4. Intellectual Property: a. Upon full payment, the website design, including all intellectual property rights, shall belong to the Client. b. Until full payment is received, the website design remains the property of Whiteski Digital.

5. Warranty: a. Whiteski Digital warrants that the website design will be free from defects and will function according to the specifications outlined in the agreement. b. Whiteski Digital shall provide reasonable support and maintenance for the website for a period of [7 days after delivery of the phase 1 design] after completion.

6. Termination: a. Either party may terminate this agreement with written notice if the other party fails to perform its obligations under the agreement. b. Upon termination, Client shall pay Whiteski Digital for all work completed up to the termination date.

7. Confidentiality: a. Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project.

8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

9. Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior agreements and understandings, whether written or oral.
